Terms of Service

Welcome to Beseam ("Beseam", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, applications, and services, including our product page audit tools, reports, monitoring features, integrations, and related analytics (collectively, the "Service").

If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

1.1. By using the Service, you confirm that you are at least 18 years old, or that you have the consent of a parent/guardian and are legally permitted to use the Service.

1.2. These Terms are a legally binding agreement between you and Beseam.

1.3. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Services Provided

2.1. The Service provides tools and solutions that may include:

  • AI-assisted product page audits and reports
  • Monitoring and change tracking
  • Integrations and workflow tooling
  • Analytics and recommendations

2.2. Features are subject to availability and may change over time. We may update, add, or remove features at any time.

3. User Responsibilities

3.1. You agree to use the Service only for lawful purposes and in accordance with these Terms.

3.2. You are responsible for your use of the Service and for ensuring that your use complies with applicable laws and regulations (including intellectual property, consumer protection, and privacy laws).

3.3. You must not:

  • reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, or algorithms of the Service (except to the extent such restriction is prohibited by applicable law)
  • probe, scan, or test the vulnerability of the Service, or bypass or attempt to bypass any security or authentication measures
  • access the Service using automated means (e.g., bots, scrapers) except via documented interfaces we provide and only in accordance with their terms
  • copy, reproduce, modify, create derivative works from, distribute, resell, lease, or commercially exploit the Service, any content, or outputs except as expressly permitted by us in writing
  • use the Service to develop, train, validate, or improve a competing product or to perform model extraction, benchmarking, or systematic output harvesting without our prior written consent
  • interfere with or disrupt the Service, including introducing malware or excessive load

3.4. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

4. Privacy and Data Use

4.1. Your privacy is important to us. By using the Service, you agree to our Privacy Policy.

4.2. We may process information (including URLs and content you submit for analysis, and usage data) to provide the Service, maintain security, and improve our products.

4.3. Please do not submit sensitive personal information for analysis unless necessary. If you submit personal data, you represent you have the right to do so.

5. Intellectual Property

5.1. The Service, including its software, designs, and underlying technology, is owned by Beseam and is protected by intellectual property laws.

5.2. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

5.3. You retain ownership of content you submit to the Service ("Customer Content"). You grant Beseam a worldwide, non-exclusive license to host, process, reproduce, and display Customer Content solely as needed to provide, secure, and improve the Service.

5.4. Feedback. If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation.

6. Disclaimers

6.1. THE SERVICE AND ANY OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, BESEAM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.2. AI/automation outputs may be incorrect, incomplete, or not suitable for your specific use case. You are responsible for reviewing outputs and making your own decisions.

7. Limitation of Liability

7.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BESEAM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

7.2. IN NO EVENT WILL BESEAM'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNTS YOU PAID TO BESEAM FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR CHF 100 IF YOU HAVE NOT PAID ANY AMOUNTS), UNLESS APPLICABLE LAW REQUIRES A DIFFERENT AMOUNT.

7.3. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

8. Termination

8.1. We may suspend or terminate your access to the Service at any time if you violate these Terms or if your use poses a security risk, legal risk, or operational risk to the Service.

8.2. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately.

9. Changes to Terms

9.1. We may update these Terms from time to time. When we do, we will post the updated Terms on this page and update the effective date.

9.2. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.

10. Governing Law and Jurisdiction

10.1. These Terms are governed by the laws of Switzerland, excluding its conflict of laws rules.

10.2. The courts of Zürich, Switzerland will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, unless mandatory law provides otherwise.
